Shareholders of Oando PLC have approved amendments to the Company’s Memorandum and Articles of Association paving the way for the Company to explore digital assets, cryptographic technologies, distributed ledger technologies and other emerging technologies, subject to applicable laws and regulatory requirements.

The approval came at Oando’s 47th Annual General Meeting (AGM) held on Thursday, 17th September, 2026, where the meeting also authorised the Board to pursue listings on other stock exchanges, including cross-border listings, subject to requisite regulatory approvals.

The shareholders further approved provisions allowing the Company to hold physical, electronic or hybrid general meetings going forward.

All other resolutions presented at the AGM were passed, including the re-election of Ademola Akinrele, SAN, Omamofe Boyo, Ikeme Osakwe and Adeola Ogunsemi as directors retiring by rotation; the re-appointment of BDO Professional Services as external auditors; the election of members of the Statutory Audit Committee; and approval of the remuneration of Non-Executive Directors.

A shareholder, Bisi Bakare, referenced the Company’s shift in its mining and infrastructure business from broad-based exploration to asset prioritisation.

She said: “I believe this is a prudent approach, particularly given the need for disciplined capital allocation across the group.”

Speaking on the company’s outlook, group chief executive, Oando PLC, Adewale Tinubu, said the company would maintain operational control and disciplined execution in its growth strategy.
